TERMS & CONDITIONS OF SUPPLY AND USE

Definitions and Interpretation

In these Terms and Conditions:

  • “Company”, “we”, “us”, or “our” means Epurelle
  • “Customer” means any business, including restaurants, cafés, hospitality venues, distributors, or resellers, purchasing the Product from us.
  • “Product” means our single-use premium wet towel supplied for hygienic refreshment purposes.
  • “End User” means the individual consumer who ultimately uses the Product.
  • “Order” means any request to purchase the Product accepted by us.
  • “Agreement” means these Terms and Conditions together with any accepted Order.

Acceptance of Terms

By placing an Order, accepting delivery, or using the Product, the Customer agrees to be bound by these Terms and Conditions.
These Terms apply to all sales unless otherwise agreed in writing by the Company.

Product Description and Intended Use

The Product is a single-use, disposable wet towel designed for external hygienic refreshment, including hands and face.
The Product is not a therapeutic, antibacterial, or medical product, and is not intended for ingestion, internal use, or use on broken skin, eyes, or mucous membranes.
The Company makes no representation that the Product is suitable for all skin types.

Orders and Supply

All Orders are subject to acceptance by the Company.
The Company reserves the right to refuse or cancel any Order at its discretion.
Once accepted, Orders may not be cancelled without written consent.

Delivery and Risk

Delivery dates are estimates only.
Risk in the Product passes to the Customer upon delivery.
The Customer must notify the Company of any damage or shortage within 48 hours of delivery.

Use by End Users

The Customer is responsible for safe presentation and distribution of the Product.
End Users should discontinue use if irritation occurs.
The Company accepts no responsibility for misuse

Regulatory Compliance

The Product is supplied in accordance with applicable Australian regulations.
The Product is not classified as a therapeutic good unless expressly stated.

Returns and Faulty Goods

Returns are handled in accordance with Australian Consumer Law.
No change-of-mind returns are accepted for business purchases.
Faulty goods must be reported within a reasonable time.

Indemnity

The Customer indemnifies the Company against claims arising from misuse, misrepresentation, or breach of these Terms.

Confidentiality

Pricing and commercial terms are confidential and must not be disclosed without consent.

Governing Law

These Terms are governed by the laws of Australia and the courts of QLD.

Pricing and Payment

Prices are quoted in Australian Dollars and are exclusive of GST unless stated otherwise.
Payment terms are as agreed at the time of Order.
Late payments may result in suspension of supply or interest charged at a reasonable commercial rate.

Storage, Handling and Shelf Life
Products must be stored in a cool, dry place away from direct sunlight.
Products must remain sealed until use and not be used beyond the expiry date.
The Company is not responsible for degradation caused by improper storage or handling.
Allergies and Skin Sensitivities

Ingredients are disclosed on packaging.
Individual reactions may occur.
The Company is not liable for individual allergic reactions unless required by law.

Intellectual Property

All branding, packaging, and marketing materials remain the property of the Company.
No reproduction or modification is permitted without written consent.

Limitation of Liability

The Company is not liable for indirect or consequential loss.
Liability is limited to the value of the Products supplied.
No liability arises from misuse, alteration, or improper storage.

Termination

The Company may terminate supply immediately for breach, non-payment, or reputational harm.

Force Majeure

The Company is not liable for delays caused by events beyond its reasonable control.

Amendments

The Company may update these Terms at any time. Updated Terms apply to future Orders
